This is an artificial intelligence (AI) training data licence agreement. The agreement should be used with respect to the provision and licensing of a dataset used to train AI models or systems. The data in question may consists of numerical or statistical data, text, images, audio, video, or some combination of these. The data may be curated and labelled to facilitate training.
Under this licence, the owner or controller of intellectual property rights in the data grants permission for the licensee to use that data specifically for the purpose of AI system training, but not for any other purposes. The limited licence is further constrained by a set of express prohibitions.
The right to use the data for training continues only for so long as the agreement subsists. Under the default clauses, the agreement may be terminated by either party upon 30 days' notice following the end of a defined minimum contract period - although the termination rights can easily be adapted to suit a particular licensing arrangement.
As well as the core licensing terms, the AI training data licence includes an audit clause, a confidentiality clause, and a set of warranties and warranty exclusions tailored to the provision and licensing of this type of data.
The AI training data licence agreement can be used for one-off supplies of data or for ongoing licensing arrangements.
The agreement does not include provision for the processing of personal data. If personal data will be included in the dataset, this agreement should be used alongside a data sharing agreement (for controller-to-controller sharing) or a data processing agreement (for controller-to-processor disclosures).
