This is a template bookkeeping contract. It is designed for use by a bookkeeper or other business providing bookkeeping services as its standard contract terms document for the provision of bookkeeping services to businesses.

The International Association of Book-keepers (IAB), the Institute of Certified Bookkeepers (ICB) and the Association of Accounting Technicians (AAT) are the three main industry bodies in respect of bookkeepers in the UK. This agreement is designed to be broadly consistent with the codes of ethics and membership rules of those bodies as at the date of drafting (although of course there are many obligations upon members that are not referred to in this document).

The core provisions of the document set out the period during which the contract will continue in force, the services that the bookkeeper will provide during this period, the manner in which those services will be provided and the charges which must be paid by the customer in consideration of the provision of those services.

In addition, the T&Cs recognise that documents produced by the bookkeeper for the customer may be protected by intellectual property rights, and grants to the customer an explicit licence under those rights.

Information supplied by a customer to a bookkeeper will often be confidential. A detailed confidentiality clause protecting such confidential information is included in the T&Cs, alongside a data processing clause any personal data processed by the bookkeeper on behalf of the customer. The data processing clause reflects the specific requirements of the General Data Protection Regulation (GDPR).
