This pack includes copies of all of our non-disclosure agreement (NDA) templates. There are four general NDAs: two standard agreements and two longer premium agreements. There are also two letters, which have the same basic content as the unilateral agreements, but come in a more user-friendly format. The pack is completed by four subject matter-specific NDAs.
Each NDA includes a flexible definition of confidential information, which you can adapt to fit the particular circumstances in which the NDA is being used.
In addition to the core obligation to keep relevant information confidential, there are specific obligations on the recipient of the information not to disclosure the information to any person except in defined circumstances (e.g. to employees under confidentiality clauses in their contracts of employment), to use at least a reasonable degree of care in relation to the security of the information, to act in good faith in relation to the information, and to use the information only for some defined purpose.
All of the documents in this pack are based upon the same library of clauses. Accordingly, they form a consistent set.
